Terms of service

Who we are

Ashera Studios is operated by Michael Cooke, working as a self-employed professional (autónomo), NIE Z3771668H, Ronda del General Mitre 199, 08023 Barcelona, Spain. Contact: hello@asherastudios.com. These terms govern every subscription plan and project we deliver. By starting a plan you accept them.

The plans

We sell four plans. Three are fixed in scope and price. The fourth is quoted. Prices are shown in US dollars for clients billed in the United States and in euros for clients billed in Spain and the EU. Prices exclude VAT/IVA where it applies.

Roots — $149 / 149 € per month. The foundation nobody sees.
Included: managed hosting, SSL certificate, daily backups, uptime monitoring; all software, plugin and security updates; two content edit requests per calendar month; monthly site health report; email support with response within two business days.
Not included: new pages; design changes; social media, email marketing or strategy work.
Unused edit requests do not roll over.

Branches — $349 / 349 € per month. Everything in Roots, plus one thing growing.
Included: everything in Roots; unlimited edit requests, handled one at a time, two business day turnaround per request; one managed channel, your choice of social (12 posts per month on one platform, plus repurposing) or email (two campaigns per month); monthly performance report.
Not included: video production; paid advertising; strategy calls; a second managed channel.

Canopy — $749 / 749 € per month. The whole visible presence.
Included: everything in Branches; two managed channels; up to two new landing pages or major page rebuilds per quarter; one 60-minute strategy call per quarter; priority turnaround of one business day.

Full Operations — from $1,500 / 1.500 € per month. Everything above, plus video, paid advertising, automation and CRM builds, and integrations. Scope and price are agreed in writing before work starts.

What counts as an edit

An edit is any single change that takes us less than 30 minutes. This is the rule that makes the word "unlimited" honest. It is measured in time, not in type of work.

Examples of edits: swapping text on an existing page; replacing an image; changing prices, opening hours or contact details; adding a staff member to an existing team section; fixing a broken link.

Anything that takes longer than 30 minutes is not an edit. We will tell you before we start, quote it as a separate piece of work, and wait for your approval. We will never do the work first and bill you afterwards.

Requests are handled one at a time. On Branches and above you may submit as many requests as you like, but we complete them in the order received, one in flight at a time. You can reorder the queue whenever you want by telling us.

Turnaround times count from the moment we have everything we need from you. If we are waiting on copy, images or an approval, the clock is paused.

Which sites we will take on

We will only put a website on a plan if one of the following is true. One, we built it — sites built by Ashera Studios go straight onto any plan. Two, we have reviewed it — for a site built by someone else, we run a paid takeover review first, currently $250 / 250 €. We audit the hosting, the codebase, the plugins, the security posture and the backups, and we tell you honestly what it will cost to bring it to a state we can maintain.

The review fee is credited against your first month if you go ahead with a plan.

We do this because taking on a neglected site at $149 a month is unfair to both of us. If the review finds problems we cannot maintain at your chosen tier, we will say so and quote the remediation separately. You are free to walk away at that point owing nothing further.

Payment

Plans are billed monthly in advance, on the same day each month.

Annual prepay: pay for eleven months and get twelve. One month free. Annual prepayments are non-refundable except as set out under Cancelling.

Payment is by card or direct debit. Failed payments are retried; if payment has not cleared within 14 days we may pause the service.

Prices may change with 60 days' written notice. Existing annual prepayments are honoured at the price paid until they run out.

Your stuff

You own your content. Text, images, logos and data you give us stay yours.

You own the website we build for you, once it is paid for. If you leave, we will export the site and hand over the files and database. We do not hold sites hostage.

We own our tooling. Internal templates, scripts and systems we use across clients stay ours.

Domains and accounts stay in your name. We will manage them, but we register them to you. This is deliberate. You should never be in a position where leaving us costs you your domain.

We may show your project in our portfolio and describe the work publicly, unless you ask us in writing not to.

Cancelling

Either side can cancel with 30 days' written notice. Email is fine.

Your plan runs to the end of the notice period and you are billed for it.

If you cancel an annual prepay partway through, we refund the unused whole months at the standard monthly rate, not the discounted rate. In practice this means the free month is deducted first.

On cancellation we hand over your site files, database, and any accounts in your name within 14 days.

We may cancel immediately, with a pro-rata refund, if a client is abusive to us, asks us to do something illegal, or repeatedly fails to pay.

What we need from you

The plans work because they are predictable. That depends on you as much as us.

Send requests to one place: hello@asherastudios.com. Requests made by phone, WhatsApp or in passing will be lost, and we would rather say that plainly than pretend otherwise.

Give us the access we need, and tell us if it changes.

Respond to approval requests. A queue that is waiting on you is not a queue we can clear.

Give us final copy and images. We will edit and format what you send; writing content from scratch is not an edit.

What we do not promise

We do not guarantee results. No ranking positions, no traffic numbers, no follower counts, no revenue. Anyone who guarantees these is guessing.

We do not guarantee 100% uptime. We monitor it, we respond to it, and we will tell you when something is down. Hosting providers, domain registrars and third-party platforms occasionally fail and that is outside our control.

We are not responsible for third-party platforms. If Instagram changes its algorithm, Google changes its rules, or a plugin author abandons their plugin, we will adapt, but we did not cause it.

Our total liability to you in any 12-month period is limited to the fees you paid us in that period. Neither side is liable for indirect or consequential losses.

Confidentiality and data

We keep your business information confidential and we do not share client lists or data between clients.

We process personal data in line with the GDPR and Spanish data protection law. Where we handle personal data on your behalf, we act as a data processor and will sign a data processing agreement on request.

The service providers we use to deliver the service are listed in our privacy policy.

Governing law

These terms are governed by Spanish law. Disputes go to the courts of Barcelona, without prejudice to any mandatory consumer rights you may have.

Changes to these terms

We may update these terms. Material changes get 30 days' notice by email. Continuing to use the service after that means you accept them.
